1. About ABC Business Broker

ABC Business Broker (“ABC,” “we,” “us”) provides business brokerage and advisory services to individuals and companies seeking to buy or sell a business. We also support valuation guidance, seller preparation, buyer education, and general transaction consulting.

We may use partner platforms such as CRM Bright to help manage customer relationships and service delivery.

2. Use of Our Services

You agree to use our services only for lawful purposes and in accordance with these Terms.

You may not:

• Misrepresent yourself or your business intentions
• Use our services for any fraudulent, unlawful, or unethical activity
• Attempt unauthorized access to any part of our systems
• Reproduce, duplicate, or exploit any content on our site without written consent

3. No Guarantee of Sale or Acquisition

ABC does not guarantee that a listed business will sell, or that a buyer will find a suitable opportunity. Business transactions involve multiple variables including market conditions, financial qualifications, and seller/buyer readiness.

All outcomes are influenced by factors outside of our control.

4. Commission and Payment Terms

Commission structures and service fees are defined in a separate written agreement between ABC and each client (either buyer or seller).

Unless otherwise stated:

• Fees are due upon closing or completion of the agreed milestone
• Late payments may incur service suspensions or additional administrative fees
• All commissions and payments are non-refundable unless explicitly stated in writing

5. Confidentiality and Non-Disclosure

Both parties agree to maintain confidentiality regarding proprietary business information shared during a transaction process. Clients must not disclose private financial or operational data about another party without written consent.

A separate Non-Disclosure Agreement (NDA) may be required before sensitive details are shared.

6. Information Accuracy

Clients are responsible for the accuracy of the information provided to ABC. While we make reasonable efforts to verify business listings, we are not responsible for false, outdated, or incomplete data provided by a third party.

7. Limitation of Liability

To the extent permitted by law, ABC Business Broker is not liable for:

• Loss of profits, revenue, or business opportunity
• Damages from decisions made using our services or content
• Errors or delays caused by third-party tools, vendors, or data sources

Our total liability, if any, is limited to the amount paid by the client for services in the 12 months preceding a claim.

8. Privacy and Data Usage

We are committed to protecting your privacy. Please refer to our Privacy Policy for information on how we collect, store, and use personal data.

CRM tools such as CRM Bright may be used internally to help manage data and streamline our services. No client data is sold or shared without consent.

9. Termination of Service

We reserve the right to suspend or terminate your access to our services if you violate these Terms or engage in conduct that could harm our company or other users.

You may also discontinue your use of our services at any time by providing written notice.

10. Changes to These Terms

We may update these Terms occasionally to reflect operational, legal, or regulatory changes. Continued use of our services after changes are posted means you accept the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes shall be resolved through arbitration or in the courts of competent jurisdiction in that state.
